These Terms of Service (“Terms”) govern your access to and use of RoundReady (“Platform,” “Service,” “we,” “us,” or “our”).

By accessing or using RoundReady, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

RoundReady is a software platform designed to support private capital raising by enabling users to: - Track fundraising activities - Manage investor details - Monitor investment and commitments - Organize fundraising workflows - Generate reports

The Service is provided as a cloud-based SaaS platform.

You must be at least 18 years old and capable of entering into legally binding agreements to use the Service.

If you are using RoundReady on behalf of an organization, you represent that you have authority to bind that entity.

You are responsible for: - Maintaining the confidentiality of your account credentials - All activity conducted under your account - Ensuring your information is accurate and up to date

We reserve the right to suspend or terminate accounts for violations of these Terms.

You agree not to: - Use the Service for unlawful, fraudulent, or misleading purposes - Upload or transmit malicious code or harmful data - Interfere with or disrupt the integrity or performance of the Service - Attempt to reverse engineer or copy the platform - Use the Service to store or process data in violation of applicable laws

You retain ownership of all data you upload (“User Data”), including: - Investor information - Fundraising data - Notes, documents, and communications

You grant us a limited license to use this data solely to provide and improve the Service.

You are solely responsible for the accuracy and legality of your data, and obtaining consent where required (e.g., investor contact data)

We will use commercially reasonable efforts to maintain the confidentiality of your data. However, you acknowledge that no system is completely secure.

All rights, title, and interest in the Platform (excluding User Data) remain with RoundReady.

You may not: - Copy, modify, or distribute the platform - Use branding, logos, or proprietary elements without permission

If applicable: - Subscription fees are billed in advance - Payments are non-refundable unless required by law

We may change pricing with prior notice. Failure to pay may result in suspension or termination.

The Platform may integrate with third-party tools (e.g., AI platforms, email providers, data rooms). We are not responsible for third-party services or their data practices.

The Service is provided “as is” and “as available. We do not guarantee accuracy of data or analytics, successful fundraising outcomes, and availability without interruption.

RoundReady does not provide legal, financial, or investment advice.

To the maximum extent permitted by law: - We are not liable for indirect, incidental, or consequential damages - Our total liability is limited to the amount paid by you in the last 12 months

You agree to indemnify and hold harmless RoundReady from claims arising from your use of the Service, your data, and your violation of these Terms

We may suspend or terminate your access for breach of Terms, for non-payment, and if required by law. You may stop using the Service at any time.

These Terms are governed by the laws of Singapore.

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
